Terms and Conditions

1. Applicability

These Terms and Conditions apply to all branding, logo design, website design, development, SEO, hosting assistance, consulting, training, and related services provided by Kredo Design, unless otherwise stated in a signed proposal or invoice. Engagement of services or payment of a deposit constitutes full acceptance of these Terms.

2. Fees, Deposits, Payment, and Non-Refundability

A non-refundable deposit of fifty percent (50%) of the total project fee is required before any work begins. No work will commence until the deposit has been received and cleared.

To the fullest extent permitted by law, once work has commenced, all payments made to Kredo Design are strictly non-refundable under all circumstances, including but not limited to change of mind, indecision, dissatisfaction with creative direction, or internal business decisions.

The remaining fifty percent (50%) balance is due immediately upon project completion and prior to website launch, delivery of files, transfer of credentials, or publication to any live environment.

If the Client chooses to pause, cancel, abandon, or otherwise terminate the project after work has commenced, the full remaining balance becomes immediately due and payable.

Kredo Design reserves the right to withhold launch, access, credentials, domains, hosting transfers, files, or deliverables until full payment has been received.

Any work outside the approved scope will be estimated in advance. Upon Client approval, such work will be billed at seventy-eight dollars ($78) per hour or as quoted. Approval may be provided in writing or implied through Client direction, requests, or continuation of work.

All additional work is billed in minimum increments of one (1) hour.

Invoices for additional work are due upon receipt. Failure to pay will result in an immediate pause of all work and timelines.

In the event of collection or enforcement, the Client agrees to be responsible for all associated legal fees, costs, and recovery expenses.

3. Client Responsibilities and Content Supply

The Client is solely responsible for supplying all required content, including copy, images, branding assets, approvals, logins, and feedback in a timely manner.

All approvals and revision requests must be submitted in writing.

The Client must designate one primary decision-maker. Conflicting feedback from multiple parties may result in delays and additional billable work.

Any delays caused by missing content, incomplete feedback, indecision, or lack of responsiveness automatically extend all timelines.

Extended delays may require re-scoping and updated pricing.

Kredo Design is not responsible for missed launches, lost opportunities, or business impact caused by Client delays, indecision, or inaction.

All timelines are estimates and depend on continuous Client participation.

4. Revisions and Scope Control

The project includes a maximum of two (2) revision rounds per deliverable phase. Each round must be submitted as one consolidated list of changes.

Additional revisions are billed at seventy-eight dollars ($78) per hour.

Once a design direction, structure, or concept has been approved, all work will proceed based on that direction.

Revisions do not include exploration of new concepts, styles, strategies, or alternative directions.

Any change to approved design direction, layout, structure, functionality, strategy, branding, or implementation constitutes a scope change and will be billed accordingly.

Client indecision, repeated change requests, conflicting feedback, delayed internal approvals, or introduction of new stakeholders are not considered revisions and will result in additional billable work.

Requests including redesigns, rebranding, new layouts, new features, or changes introduced after approval are not included in the original scope.

Substantial changes to Client-provided content after approval may result in additional fees.

Design is inherently subjective. Dissatisfaction based on personal preference does not constitute failure to deliver or grounds for refund, cancellation, or non-payment.

Determination of scope and classification of work is made by Kredo Design based on the approved scope and project history.

5. Approval and Acceptance of Work

The Client has seven (7) calendar days from delivery of any work to submit written feedback or request revisions.

Failure to provide written feedback within this period constitutes automatic approval.

Once approved or deemed approved, work is final.

Reversing previously approved work, requesting new directions, or reopening completed phases constitutes a new request and will be billed accordingly.

6. Project Delays, Dormancy, and Abandonment

Project timelines depend on consistent Client participation and communication.

If the project experiences thirty (30) consecutive days of inactivity due to Client non-responsiveness, indecision, missing materials, or delayed approvals, the project will be placed into dormancy.

A non-refundable reactivation fee of five hundred dollars ($500) is required to resume work.

Reactivated projects are rescheduled based on availability and placed at the end of the production queue. Project scheduling is not reserved during periods of delay.

If inactivity exceeds forty-five (45) days without written agreement, the project is considered abandoned.

In the event of abandonment, all payments are forfeited, the remaining balance becomes immediately due, and all work completed remains the property of Kredo Design.

7. Emergency Rush Work

Expedited work requested due to Client delays, indecision, missed deadlines, or internal changes will be billed at a rush rate of one hundred fifty-six dollars ($156) per hour.

Rush work is subject to availability and is not guaranteed.

8. Ownership and Intellectual Property

All designs, concepts, drafts, layouts, code, strategies, and materials remain the exclusive intellectual property of Kredo Design until full payment has been received.

No ownership rights or licenses are granted prior to full payment.

Upon full payment, the Client receives a non-transferable, non-exclusive license to use the final approved deliverables for their business.

The Client may not resell, sublicense, redistribute, or repurpose the work for commercial resale or third-party use.

9. Portfolio and Self-Promotion

Kredo Design retains the right to display completed or in-progress work in portfolios, case studies, websites, social media, and marketing materials unless otherwise agreed in writing.

10. Client Warranty and Indemnification

The Client warrants that they own or have obtained all necessary rights, licenses, and permissions for any content, trademarks, logos, images, copy, or materials supplied.

The Client agrees to indemnify, defend, and hold harmless Kredo Design from any claims, damages, losses, legal actions, penalties, or expenses arising from Client-provided content, business practices, or website use.

11. SEO Disclaimer

SEO services are performed using current industry best practices, research, and strategic implementation designed to improve visibility and performance over time.

However, due to factors outside of Kredo Design’s control, including search engine algorithms, competition, and platform changes, no guarantees are made regarding rankings, traffic, conversions, or business outcomes.

Interpretation of analytics, performance data, and results may vary. Kredo Design provides strategic guidance, not guaranteed outcomes.

12. Hosting, Backups, and Technical Services

Hosting services, if purchased separately, are provided as a convenience only.

Kredo Design does not guarantee uptime, performance, security, data retention, or third-party service reliability beyond initial configuration and reasonable best-practice setup.

The Client remains fully responsible for hosting fees, renewals, backups, monitoring, maintenance, and data integrity.

Kredo Design is not liable for outages, data loss, hacking, malware, email delivery issues, or third-party provider failures.

13. Cross-Browser and Platform Compatibility

Websites are built using modern, well-supported platforms and tested on current versions of major browsers.

Compatibility with outdated browsers, devices, or third-party extensions cannot be guaranteed.

14. E-Commerce Responsibility

The Client is solely responsible for compliance with all applicable laws related to e-commerce, payments, taxes, refunds, customer data, and privacy regulations.

Kredo Design shall not be held liable for any claims, penalties, losses, or damages arising from the Client’s e-commerce operations.

Kredo Design does not guarantee compliance with ADA, GDPR, or other regulatory requirements unless explicitly included in scope.

15. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement, except where disclosure is required by law.

16. Subcontracting

Kredo Design reserves the right to subcontract any portion of the services at its discretion.

17. Limitation of Liability

To the maximum extent permitted by law, Kredo Design shall not be liable for any indirect, incidental, consequential, or economic damages, including lost profits, business interruption, or reputational harm.

Kredo Design’s total cumulative liability shall not exceed the total fees paid by the Client for the specific services giving rise to the claim.

18. Chargebacks and Payment Disputes

The Client agrees to contact Kredo Design in good faith to resolve any concerns prior to initiating a chargeback or dispute.

Any chargeback initiated after work has commenced constitutes a material breach of this agreement.

The Client remains responsible for full payment, recovery fees, administrative costs, and all associated legal expenses.

Kredo Design reserves the right to pursue collection, legal action, and recovery of all outstanding balances.

19. Client Responsibility for Results

All business decisions, outcomes, and performance remain the responsibility of the Client.

Kredo Design is not responsible for business decisions, marketing execution beyond scope, or operational outcomes.

No guarantees are made regarding success, growth, revenue, or performance.

20. Termination for Cause

Kredo Design reserves the right to terminate the agreement if the Client fails to provide clear direction, repeatedly changes direction, is unable to make decisions within reasonable project timelines, delays progress, or breaches these Terms.

In such cases, all payments are forfeited, and the remaining balance becomes immediately due.

21. File Retention

Kredo Design will retain project files for ninety (90) days after project completion. After this period, Kredo Design is not responsible for file storage or retrieval.

22. Force Majeure

Kredo Design shall not be liable for delays or failure to perform due to events beyond reasonable control, including illness, medical emergencies, natural disasters, power outages, internet failures, or other unforeseen circumstances.

23. Independent Contractor

Kredo Design operates as an independent contractor. Nothing in this agreement creates a partnership, joint venture, or employment relationship.

24. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior discussions, communications, or understandings.

Dispute Resolution and Governing Law

Both parties agree to attempt to resolve any dispute through good-faith mediation prior to initiating legal action.

Mediation shall take place in the State of Florida.

If mediation is unsuccessful, this agreement is governed by the laws of the State of Florida.

All disputes shall be resolved exclusively in the courts of Pasco County, Florida.

26. Expiration of Engagement

Upon project completion, the Client has ninety (90) days to proceed with launch, request final revisions within scope, and accept delivery.

If the Client fails to proceed within this timeframe, the engagement will expire.

After expiration, Kredo Design is not obligated to maintain project availability, timelines, pricing, or previously agreed scope.

Resumption of work requires a re-engagement fee of nine hundred dollars ($900) and may require re-scoping, updated pricing, and a new timeline based on current availability.

Kredo Design is not responsible for maintaining compatibility, updates, or functionality of work that remains unlaunched beyond this period.
